1. PARTIES AND ACCEPTANCE OF THE GENERAL TERMS AND CONDITIONS OF SALE

These General Terms and Conditions of Sale (hereinafter the “GTCS”) govern the contractual relationship between:

The Supplier: IPD Poland Sp. z o.o., a company registered in the Trade and Companies Register in Paris under VAT number B63568513, with its registered office at ul. Mińska 38/102, 54-610 Wrocław.

The Professional Customer: Any legal or natural person acting within the scope of their professional, commercial, craft or liberal activity, wishing to purchase products offered by the Supplier via the website https://ipd2004.com/pl

By placing an order, the Professional Customer unreservedly accepts these GTCS. No special or conflicting terms shall prevail over the GTCS without the Supplier’s express written consent.

2. PURPOSE

The purpose of these GTCS is to define the terms and conditions for the sale of products offered by the Supplier to Professional Customers, in particular original, precise and high-quality prosthetic solutions.

3. ORDERS

3.1. Ordering process:

The Professional Customer places orders exclusively via https://ipd2004.com/pl by following these steps:

Creation of a user account or logging into an existing account.

Selection of products and adding them to the cart.

Validation of the cart contents.

Confirmation of the order and secure payment by credit card.

3.2. Order confirmation:

Each order shall be deemed accepted after confirmation by the Supplier, by email or any other written means.

3.3. Order cancellation:

If the payment is cancelled by the payment platform or the Customer’s bank, the Supplier reserves the right to cancel the order without prior notice.

3.4. Modification or cancellation by the Customer:

Any modification or cancellation of an order by the Customer must be notified in writing and is subject to the Supplier’s prior approval.

4. PRICES AND PAYMENT TERMS

4.1. Prices:

Product prices are indicated in PLN, net of tax and excluding delivery costs. Applicable taxes shall be added in accordance with the regulations in force at the time of invoicing.

4.2. Payment:

Payment is made by credit card via a secure payment platform at the time of order validation.

4.3. Late or non-payment:

In the event of late or non-payment, the Supplier reserves the right to suspend or cancel any delivery and/or ongoing order, without prejudice to any other action it may take.

5. DELIVERY

5.1. Delivery times:

Delivery times are provided for indicative purposes only. The Supplier undertakes to make its best efforts to comply with them but shall not be held liable for delays caused by circumstances beyond its control.

5.2. Transfer of risk:

Risk passes to the Professional Customer at the time the products are handed over to the carrier.

5.3. Claims:

Any claims relating to delivery must be submitted in writing within 14 days from the date of receipt of the products.

6. ACCEPTANCE AND CONFORMITY

6.1. Obligation to inspect:

The Customer is required to inspect the products upon receipt and report any visible defects or non-conformities within 14 days.

6.2. Return of products:

No return shall be accepted without the Supplier’s prior written consent.

7. WARRANTY

The Supplier warrants that the products comply with the agreed specifications. In the event of a manufacturing defect, the Supplier undertakes to replace or repair the defective products. The warranty excludes any other form of compensation.

8. LIABILITY

The Supplier’s liability is strictly limited to direct and foreseeable damages resulting from proven fault. The Supplier shall not be liable for indirect damages such as loss of profit or business interruption.

9. RETENTION OF TITLE

In accordance with Articles 2367 et seq. of the Civil Code, the Supplier retains ownership of the products until full payment has been made by the Customer.

10. CONFIDENTIALITY

The Parties undertake to keep confidential the information exchanged in connection with the performance of these GTCS. Such information may not be disclosed without prior consent, except where required by law.

11. ELECTRONIC CONTRACT

11.1. Online ordering process:

The online ordering process is defined in Article 3.

11.2. Archiving and evidence:

Data recorded by the Supplier shall constitute proof of the transactions.

12. GOVERNING LAW AND JURISDICTION

These GTCS are governed by French law. Any disputes relating to their interpretation or performance shall fall under the exclusive jurisdiction of the courts of Paris.
